# Restoflow Terms of Service

## Operator and contact details

Restoflow is operated by Ampelus Production Management Solution Inc. ("Ampelus", "we", "us", or "our"). Unless a separate order form or written agreement states otherwise, these Terms govern the use of the Restoflow website and the Restoflow restaurant shift and operations management service.

## Acceptance of these Terms

By accessing the website or using Restoflow, you agree to these Terms. If you use Restoflow on behalf of a company, restaurant, or other organisation, you confirm that you are authorised to bind that organisation to these Terms.

## The Service

Restoflow is a software service designed to support shift coordination, task and checklist management, standards acknowledgement, operational communication, and related workflows for restaurants and similar businesses. Certain functions may operate through Telegram or other third-party services.

We may improve, modify, add, or remove features from time to time where reasonably necessary for security, legal compliance, technical development, or product improvement.

## Eligibility and business use

Restoflow is intended primarily for professional and business use. You must ensure that your use of the service complies with applicable employment, privacy, labour, communications, and record-keeping rules in the jurisdictions relevant to your organisation.

## Accounts and access

You are responsible for keeping login credentials secure, controlling user access, and ensuring that account information remains accurate. You must promptly notify us if you become aware of unauthorised access or a security incident affecting your Restoflow account.

We may suspend access or require credential resets where reasonably necessary to protect the service, users, or data.

## Customer data and customer responsibilities

As between Ampelus and the customer, the customer retains responsibility for the lawfulness, accuracy, and appropriateness of data entered into Restoflow by or on behalf of the customer.

The customer must not use Restoflow for unlawful monitoring, discrimination, retaliation, or any use that violates workplace, privacy, anti-discrimination, labour, or communications law. The customer should not upload special-category or highly sensitive HR data unless that use is strictly necessary, lawful, and expressly supported by the customer's own legal assessment.

## Third-party services and Telegram

Some Restoflow features may depend on third-party services such as Telegram, hosting providers, analytics tools, communications services, or payment processors. Those services may also be governed by their own terms and privacy notices.

Ampelus is not responsible for downtime, policy changes, API changes, or other acts or omissions of third-party providers that are outside Ampelus's reasonable control.

## Acceptable use

You may not use Restoflow to:
- break the law or violate third-party rights;
- upload malware, spam, deceptive content, or harmful code;
- interfere with or attempt to test the vulnerability of the service without authorisation;
- reverse engineer or attempt to extract source code except where the law clearly allows it;
- misuse the service for unlawful surveillance or unlawful employee monitoring;
- resell, sublicense, or commercially exploit the service beyond the scope of your subscription unless we agree otherwise in writing.

## Plans, subscriptions, fees, and billing

Restoflow may offer free, trial, and paid plans. Features, limits, pricing, and billing cycles may be described on the website, in an order form, or in a separate commercial proposal. Unless otherwise agreed in writing:
- paid subscriptions are billed in advance on a monthly or annual basis;
- subscriptions renew automatically for the same billing cycle unless cancelled before renewal;
- fees are non-refundable except as required by law or expressly stated otherwise;
- we may suspend paid features for overdue accounts after reasonable notice;
- taxes, duties, and similar charges are the customer's responsibility unless the law requires otherwise.

## Support and availability

We will use commercially reasonable efforts to make the service available and to provide support consistent with the applicable plan. Unless we expressly agree otherwise in writing, Restoflow is provided without a guaranteed uptime percentage, fixed response time, or formal service level agreement.

Availability may be affected by maintenance windows, emergency interventions, third-party outages, internet disruptions, or events beyond our reasonable control.

## Intellectual property

Ampelus and its licensors retain all rights, title, and interest in Restoflow, including the software, interfaces, workflows, designs, documentation, know-how, and related intellectual property, except for customer data and any third-party materials owned by their respective rights holders.

Subject to these Terms and payment of applicable fees, Ampelus grants the customer a limited, non-exclusive, non-transferable, non-sublicensable right to use Restoflow during the subscription term for its internal business operations.

## Feedback

If you provide feedback, ideas, or suggestions about Restoflow, Ampelus may use them without restriction or compensation, provided that Ampelus does not publicly identify you as the source without your permission.

## Confidentiality

Each party must protect the other party's non-public confidential information with reasonable care and use it only for the purposes of the parties' relationship, except where disclosure is required by law or the information becomes public without breach of confidentiality obligations.

## Data protection

The Privacy Policy describes how Ampelus processes personal data when acting as controller. Where Ampelus processes personal data on behalf of a customer, the customer is generally the controller and Ampelus is generally the processor.

These Terms contain only high-level data processing language. If the customer requires a more detailed data processing agreement, the parties may enter into a separate DPA covering subject matter, duration, categories of data, subprocessor terms, security, assistance obligations, and return or deletion mechanics.

## Suspension and termination

The customer may stop using Restoflow at any time and may cancel subscriptions in accordance with the applicable billing terms.

Ampelus may suspend or terminate access if the customer materially breaches these Terms, fails to pay fees, creates a security risk, uses Restoflow unlawfully, or exposes Ampelus or other users to harm. Where reasonable, Ampelus will give notice and an opportunity to cure before suspension or termination, except where immediate action is required for security, legal compliance, or prevention of harm.

## Effect of termination

On termination or expiry, the right to use Restoflow ends. The customer should export any data it wishes to keep before the effective end date.

Ampelus may retain limited data for a commercially reasonable period after termination where necessary for legal compliance, dispute defence, fraud prevention, security logging, billing reconciliation, or routine backup cycles. Data return or deletion may also be governed by a separate order form or DPA if one exists.

## Disclaimers

Except to the extent prohibited by law, Restoflow is provided on an "as is" and "as available" basis. Ampelus does not guarantee uninterrupted or error-free operation, continuous availability of Telegram or other third-party services, or suitability for every operational workflow.

The customer remains responsible for business decisions, staffing decisions, legal compliance, and workplace communications carried out using Restoflow.

## Limitation of liability

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

Subject to that rule, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profit, revenue, goodwill, or anticipated savings arising out of or related to Restoflow.

Subject again to mandatory law, each party's aggregate liability arising out of or related to Restoflow will not exceed the total fees paid or payable by the customer for the 12 months preceding the event giving rise to the claim. If the claim relates only to a free plan, the aggregate cap is CAD 100.

## Governing law and disputes

Unless mandatory law requires otherwise, these Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. The courts located in Alberta will have exclusive jurisdiction over disputes arising out of or related to these Terms or the service, unless the parties agree on another lawful forum in writing.

## Changes to these Terms

We may update these Terms from time to time. The revised version will be posted on the website with a new "Last updated" date. Where a change materially affects paid subscriptions or materially changes rights or obligations, Ampelus will use reasonable efforts to provide advance notice before the change takes effect for the next renewal period.
